NDA triage
Triage an NDA in minutes: key facts are extracted against a fixed NDA checklist with the exact clause quoted for each, and the verdict — sign, sign with edits, or escalate to a lawyer — is decided by fixed local rules, not by the model’s mood. Not legal advice.
About this tool
Most NDAs are standard paper; a few carry a residuals clause, a ten-year term or a fixed penalty that changes what you are signing. Telling them apart should not take a lawyer queue. This triage extracts the facts against a fixed NDA checklist — one-way or mutual, term, exceptions present or missing, penalties, residuals, non-compete language, governing law — each with the exact clause quoted.
The verdict is then decided by fixed rules on your device, not by the model’s mood: the listed red flags force an escalate, smaller issues produce sign-with-edits with the exact ask, and the same NDA always gets the same verdict. It is a triage tool, not legal advice — an escalate verdict means this one deserves a lawyer before anyone signs.
How to use NDA triage
- Add your provider API key in the key panel.
- Upload the NDA (PDF, DOCX or TXT) or paste it; set your role.
- Key facts are extracted against a fixed NDA checklist, each with its quoted clause.
- The verdict itself — sign, sign with edits, or escalate to a lawyer — is decided by fixed local rules, and exported as Markdown.
Keep the original files and inspect the exported result before publishing or sharing it.
Frequently asked questions
Who decides the verdict?
Fixed rules on your device, applied to the extracted facts: a residuals clause, a term over five years, a fixed penalty, missing standard exceptions or non-compete language each force an escalate; smaller issues produce sign-with-edits with the exact ask. The same NDA always gets the same verdict.
What is checked?
One-way vs mutual, confidentiality term, whether the standard exceptions are all present, penalty clauses, residuals clauses, non-compete language and governing law — each shown with the quoted clause it rests on.
Is this legal advice?
No. It is a triage tool that tells you whether an NDA looks routine or deserves a lawyer’s time; it does not replace one.
