Contract risk scan

Scan a contract before you sign: clause-by-clause risk findings with quoted text and negotiation asks, a fixed-checklist check for clauses that are missing entirely, and a 0–100 risk score. Not legal advice.

About this tool

Most contract risk hides in two places: clauses that are written against you, and protections that were never written at all. This scan hunts both. The contract is split into clauses locally and each clause group is judged against a fixed checklist for your side and contract type — unlimited liability, one-sided termination, auto-renewal traps, IP grabs — with the exact risky wording quoted and a concrete change to ask for.

Separately, a local full-text check reports standard protections (liability cap, termination rights, governing law and more) that never appear in the document, because absence is exactly what reading models overlook. The 0–100 risk score is a fixed formula over the findings, so two contracts are scored with the same ruler. It is a triage and preparation tool, not legal advice.

How to use Contract risk scan

  1. Add your provider API key in the key panel.
  2. Upload the contract (PDF, DOCX or TXT) or paste it; set your side and the contract type.
  3. The scan splits the contract into clauses locally, judges each against the type checklist, and separately checks for missing protections.
  4. Review findings by severity, use the negotiation asks, and export the report.

Keep the original files and inspect the exported result before publishing or sharing it.

Frequently asked questions

How is the risk score calculated?

A fixed formula on your device: high-severity findings add 15, medium 8, low 3, capped at 100. The checklist and weights never change between runs, so two contracts are scored with the same ruler.

What are "missing clauses"?

Protections like a liability cap, termination rights or governing law that never appear in the text. They are found by a local full-text check, because models are worst at noticing what is absent.

Is this legal advice?

No. It is an information and triage tool that helps you prepare questions for a lawyer; it does not replace one.

Where does my contract go?

The file is parsed in your browser; clause text is sent only to the AI provider behind your own key.
